First time downloading a .dll file from here, so I was kinda skeptical. Not sure if I could trust it or not..
But I got it anyway, scanned it twice with good results. Put it on my computer, and Viola! Ultima Online now working :)

for some reason winxp sp2 and winxp x64 sp1, which is meant to have directx 9.0c, does not have d3dx9_30.dll installed. to fix it, simply download and install directx 9.0c again and it should work fine!
